Deal Availability Screener & Term Sheet Generator
A step by step guide for administrators to screen portfolio companies for acquisition and investment availability, manage deal parameters, and generate non binding sample term sheets for early investor conversations.

Accessing the Tools
Both tools live in the admin panel and require an admin role account.
- 1Navigate to Admin Dashboard from the main navigation.
- 2Open the Portfolio Companies & Partners section in the left sidebar.
- 3Click Deal Availability to open the screener tab.
NOTE
The Deal Availability tab is visible to admins only. Company owners and investors do not see deal availability fields or term sheet drafts on their portals.
Using the Deal Availability Screener
The screener displays every portfolio company in a filterable table with deal parameters and inline editing.
Understanding Availability Statuses
FULL PURCHASE
The company is open to a full or majority acquisition. A purchase price is required.
INVESTMENT ONLY
The company is open to equity investment but not a full sale. Min and max check sizes apply.
BOTH
The company is open to either a full purchase or an investment. Both price and check size fields are relevant.
NOT CURRENTLY AVAILABLE
The company is not open to deals at this time. Term sheet generation is disabled.
Filtering Companies
Use the filter bar above the table to narrow the list:
- 1Click All, Open to Full Purchase, Open to Investment, Both, or Not Currently Available to filter the table.
- 2The summary strip at the top shows live counts and total dollar values per bucket, updating as you save changes.
Editing Deal Parameters
Each company row shows its current deal fields. To edit:
- 1Click the Edit button on the company row. The row switches to inline editable fields.
- 2Set the Availability dropdown to the desired status.
- 3Enter dollar values for Purchase Price, Min Check, Max Check, and Pre Money Valuation as applicable. Enter Equity % as a number between 0 and 100.
- 4Click Save. The system records your email and today's date as the last updater, and the summary strip refreshes automatically.
- 5Click Cancel to discard changes without saving.
NOTE
Dollar values are entered in full dollars. The table displays them abbreviated in millions (M) or thousands (K) for readability, matching the rest of the platform.
Generating a Sample Term Sheet
From any company row with availability set to Full Purchase, Investment Only, or Both, click Term Sheet to open the generator modal.
Step 1: Choose Deal Type
The modal defaults to Full Purchase or Investment based on the company's availability setting. Click the toggle at the top to switch between the two templates:
- 1Full Purchase uses Template A, structured as an acquisition indication of interest with a purchase price.
- 2Investment uses Template B, structured as a preferred stock, convertible note, or SAFE investment with an investment amount and equity percentage.
Step 2: Review and Adjust Inputs
The form auto fills from the company's saved deal fields. Adjust any value as needed:
- 1For Full Purchase: verify Purchase Price and Pre Money Valuation.
- 2For Investment: verify Investment Amount, Equity %, and Pre Money Valuation. The Post Money Valuation is computed automatically (pre money plus investment amount) and updates in real time as you type.
- 3Set Exclusivity Period in days (default 45) and Governing Law State (defaults to the company's state of incorporation or Michigan).
- 4Optionally enter Use of Funds and Closing Conditions text to guide the AI narrative.
Step 3: Generate
- 1Click Generate Term Sheet. The system calls the AI model to produce two short narrative paragraphs only: the Transaction Summary and the Use of Proceeds.
- 2All other sections (parties, structure, conditions precedent, exclusivity, confidentiality, governing law, expiration, non binding disclaimer, and signature blocks) are fixed boilerplate, pulled from the selected template and interpolated with your inputs.
- 3The full document appears in the preview pane. Review it carefully before saving.

The generated term sheet is a non binding sample for early investor conversations only. It is not legal advice and does not constitute an offer or commitment. All term sheets must be reviewed by qualified legal counsel before sharing with any party.
Step 4: Save, Copy, Download, or Send
SAVE DRAFT
Stores the generated document as a TermSheetDraft record with status 'draft'. The deal parameters are saved alongside the text for audit.
COPY
Copies the full document text to your clipboard for pasting into an email or document editor.
Opens a print formatted view of the document. Use your browser's print dialog to save as PDF.
MARK AS SENT
Available after saving. Updates the draft status to 'sent' for tracking which term sheets have been shared.
- 1To generate a fresh version, click Regenerate. This clears the preview and lets you adjust inputs and generate again.
- 2Click the X in the top right to close the modal at any time.
Term Sheet Template Structure
Two fixed templates are used. The AI only generates the Transaction Summary and Use of Proceeds paragraphs. Everything else is immutable boilerplate with bracketed placeholders filled from your inputs.

NOTE
Sections 7 and 8 in Template A (Exclusivity and Confidentiality), and Sections 8 and 9 in Template B, are the only binding provisions. All other sections are explicitly non binding. This structure is fixed and cannot be reordered or reworded by the AI.
Deal Availability Badge on Companies Tab
When you set a company's deal availability to Full Purchase, Investment Only, or Both, a small colored badge appears next to the company name on the main Companies tab in the admin panel. This gives you a quick visual scan of which companies are open for deals without opening the Deal Availability tab.
Companies set to Not Currently Available show no badge.
Important Notes & Limitations
Term sheet drafts are admin only. Only admin role users can create, read, update, or delete TermSheetDraft records.
The AI generates narrative text only. It does not modify, reorder, or reword any legal boilerplate section. The fixed templates ensure consistency and legal reviewability.
Dollar amounts in the screener and term sheet are displayed in millions (M) where appropriate, consistent with the rest of the platform.
TermSheetDraft records are distinct from signed agreements and NDAs stored in InvestorAgreementRecord and PortfolioAgreementRecord. They are non binding samples only.
Post money valuation is computed as pre money valuation plus investment amount. It updates in real time as you type in the generator modal.
The expiration date is set to 30 days from generation. The exclusivity period defaults to 45 days. Both are editable.
Every save records the admin's email and the date, providing an audit trail of who updated deal availability and when.
